2. General Terms and Conditions

2.1 Scope and purpose

The Website offers Users information about Citalid, its products and services. Use of the Website is optional and free of charge. All costs incurred by the User in accessing the Website shall be borne exclusively by the User.

Access to and use of the Website is governed by these general terms and conditions (the “GTC”) which set out the conditions of use of the Website and govern the relationship between Citalid and any internet user who accesses or browses the Website (the “User”).

These GTC are accessible and can be consulted at any time on the Website. Citalid reserves the right to modify them at any time. The modified GTC will take effect on the date they are put online on the Website and are deemed to be accepted without reservation by any User who browses the Website after they are put online. The applicable GTC are those in force on the day of navigation on the Website.

2.2 Intellectual property

The Citalid Cybersecurity brand, as well as all the figurative or nonfigurative brands and more generally any other distinctive sign appearing on the Website, whether registered or not (the “Brands”) are and remain the exclusive property of Citalid or have been licensed to Citalid. No right or license to use the Brands is granted to the User.

The Website and all graphic, textual, visual and photographic elements appearing on it, in particular all illustrations, images, drawings and models, photographs, characters, textual elements, decorations, modes of presentation, methods of access to data, databases or other organisation of data, graphics or other elements appearing on the Website (the “Content”) are and remain the exclusive property of Citalid or have been licensed to Citalid and are protected by intellectual property rights. No right or license to use the Content is granted to the User other than the right of access and use provided below.

The Brands, the Website and/or the Content may not be modified, reproduced, represented, transmitted, distributed, displayed, sold, incorporated into a derivative work or other type of work on any medium whatsoever. The use of all or part of the Brands, the Website and/or the Content, in particular by downloading, reproducing, transmitting, representing or displaying them for purposes other than those provided for in these GTC is strictly prohibited.

Subject to compliance with these GTC, Citalid grants Users a personal, non-exclusive and non-transferable right to access and use the Website, the Content and/or the Brands for the sole purpose of consulting the Website. Consequently, it is strictly forbidden to:

  • copy, reproduce, represent/display, disseminate, distribute and/or publish, permanently or temporarily, all or part of the Website and/or the Content and/or the Brands by any means or process and on any medium known or unknown to date;
  • create derivative works from the Website and/or the Content and/or the Brands;
  • modify, translate, adapt or transform all or part of the Website and/or the Content and/or the Brands;
  • disassemble, decompile or reverse engineer the Website and/or the Content;
  • distribute, transmit, transfer, disseminate, sell, rent, license or exploit in any way all or part of the Website and/or the Content and/or the Brands.
2.3 Links to the Website – Links to third party websites

It is also forbidden to create a hypertext link to the Website or to elements of the Website without the prior express written authorisation of Citalid. Requests for permission should be sent in writing to communication[at]citalid.com. Authorisations granted may be cancelled at any time at the sole discretion of Citalid.

Citalid reserves the right to request the removal of any link to the Website which has not been authorised, or which is no longer authorised, and to claim damages for any loss suffered in this respect.

It is possible that websites containing a hypertext link to the Website or any of its elements are not under the control of Citalid, which consequently declines all responsibility (particularly editorial) for access to these websites and their content.

The Website may contain links to other websites or external sources (“Third Party Websites”). Insofar as Citalid has no control over these Third Party Websites or their content, Citalid makes no commitment as to the availability of these Third Party Websites and their content, and declines all responsibility for the content, advertising, products, services or any other elements available on or from these Third Party Websites. By providing links to these Third Party Websites, Citalid does not endorse or associate itself with the content of these Third Party Websites or make any representations regarding them. 2.4 Liability

The Website and its Content are provided “as is” and subject to availability. The User is solely responsible for his or her use of the Website and its Content and, in particular, for compliance with the obligations incumbent upon him or her under the terms of these GTC.

Citalid does not guarantee that the Website or its Content is free from error or accessible in an uninterrupted manner. The Website is normally accessible 24 hours a day, 7 days a week, subject to force majeure, the availability of the Internet network and/or suspensions or interruptions of the Website for technical reasons related to updates to the Website, its maintenance or any other technical cause. Citalid undertakes, within the framework of an obligation of means, to provide access to the Website under the conditions set out in these GTC, and to provide its best efforts to remedy any malfunction, suspension or interruption of the Website brought to its attention. The User acknowledges and agrees that Citalid may be obliged to temporarily or permanently suspend access to the Website without prior notice, particularly for technical and/or maintenance reasons, whatever the origin or cause, without this entailing any liability on its part.

It is also specified that the Internet network and the information and telecommunication systems used to access and use the Website are not free of errors or bugs and that interruptions and breakdowns may occasionally occur. Citalid cannot be held responsible for any inconvenience, loss or damage linked to the use of the Internet network, including, in particular, in the event of transmission and/or reception of data and/or information on the Internet of poor quality, any defect in the reception of equipment or communication lines, any malfunction of the Internet network preventing the proper running of the Website and, more generally, any loss or damage resulting from the use of the Website, the Internet network and information and telecommunications systems. Citalid, its directors and employees cannot be held responsible for any loss or damage, whatever the cause, arising from the use of the Website, for which the User is solely responsible. It is the responsibility of Users to take all appropriate measures to ensure the security of their equipment, data, software or other elements belonging to them, in particular against any infection by malicious program(s) and/or any attempt at intrusion of which they could be victims.

2.6 Miscellaneous provisions

If any provision(s) of these GTC are held to be invalid or unenforceable by any applicable law or regulation or by a decision of a court of competent jurisdiction, such provision(s) shall be severed without affecting the validity or enforceability of the remaining provisions.

The fact that Citalid does not assert its rights under any provision of these GTC shall not be considered or interpreted as a waiver of the benefit of this provision or the right to enforce it subsequently and/or any recourse that Citalid may have in the event of a breach of the provision concerned.

2.7 Applicable law – Claims and disputes

Any request for information, clarification or assistance or any complaint relating to the Website must be sent to Citalid by email or by post to the recipients indicated on the first page of these conditions.

These GTC are governed by and interpreted in accordance with French law.

In the event of a claim or dispute relating to, or arising from, the application, interpretation or performance of these GTC, the parties undertake to seek an amicable settlement of the dispute. In the absence of an amicable agreement within a period of two (2) months from receipt by Citalid of written notification of the dispute sent in accordance with the above terms, the parties agree that the courts within the jurisdiction of the Court of Appeal of Paris will have exclusive jurisdiction to hear the dispute.
